These Official Rules ("Rules") govern the Couplet Care Bassinet Giveaway (the "Promotion"). By entering, the entrant agrees to be bound by these Rules and by the decisions of Couplet Care, Inc. ("Couplet Care," "we," "us," or "our"), which are final and binding in all matters relating to the Promotion.
1. Sponsor
The Promotion is sponsored by Couplet Care, Inc., a Delaware corporation ("Sponsor"). The Promotion is in no way sponsored, endorsed, administered by, or associated with the conference event organizer or the operator of the convention venue.
2. Promotion Period
The Promotion entry period (the "Entry Period") begins at the opening of the exhibit hall and ends at the close of the exhibit for that venue. Entries submitted after the Entry Period closes will not be eligible for the drawing, although any quote requested at any time will still be honored as an ordinary business quote. Sponsor's clock is the official timekeeper for the Promotion.
3. Eligibility
The Promotion is open only to hospitals and licensed acute-care or postpartum healthcare facilities located in the fifty (50) United States and the District of Columbia (each, a "Hospital"). Entries are submitted on behalf of a Hospital postpartum unit by an authorized representative who is at least eighteen (18) years of age and who is employed by, or otherwise authorized to act for, the Hospital.
The Promotion is void where prohibited or restricted by law, and is void for any individual or entity whose participation or acceptance of the prize would violate any applicable law, regulation, accreditation standard, institutional policy, or the rules of any governmental, professional, or healthcare program. Each entrant is responsible for confirming that participation and acceptance of the prize are permitted under the Hospital's own policies and under all laws applicable to the Hospital, including those described in Section 9.
Employees, officers, directors, contractors, and agents of Sponsor, and their immediate family members, are not eligible to enter on their own behalf.
4. How to Enter
To enter during the Entry Period:
1. Complete a brief quote request form for your Hospital's postpartum unit at the Couplet Care booth.
2. Deposit the completed form in the designated ballot box at the booth on or before the close of the exhibit hall for the specific venue.
Limit one (1) entry per Hospital postpartum unit. Duplicate or multiple entries submitted on behalf of the same Hospital unit will be consolidated into a single entry. Entries that are incomplete, illegible, mechanically reproduced, or not submitted in the manner described above are void. Requesting a quote is not a purchase and is not required to be eligible; the quote request form is simply the entry mechanism.
5. Prize
One (1) prize will be awarded: one (1) Couplet Care Bassinet provided at no charge (the "Prize"). The Prize takes the form of a credit covering the full price of one (1) Couplet Care Bassinet unit, such that the winning Hospital pays nothing for the bassinet unit itself (the "Prize Credit"). No purchase of any kind is necessary to win or to receive the Prize.
The Prize Credit:
- covers one (1) Couplet Care Bassinet unit only;
- **does not cover shipping and handling, taxes, installation, training, service, or any other charges, all of which are the sole responsibility of the winning Hospital;**
- has no cash value, is non-transferable, and may not be sold, assigned, combined with the value of any other unit, or redeemed for cash or substituted except by Sponsor; and
- is subject to the Hospital's compliance with these Rules and with Sponsor's standard delivery terms.
Sponsor reserves the right to substitute a prize of equal or greater value if the advertised Prize becomes unavailable for any reason. The approximate retail value of the Prize is available from Sponsor upon written request. Odds of winning depend on the number of eligible entries received.
6. Drawing, Notification, and Claim
Random drawing. One (1) winning entry will be selected in a random drawing from among all eligible entries approximately 30 days after the close of the event.
Notification. Sponsor will attempt to notify the selected Hospital's authorized representative by email and telephone approximately 60 days after the close of the event, using the contact information provided on the entry form.
Claim deadline. To claim the Prize, the selected Hospital must schedule a purchasing or stakeholder call with Couplet Care on or before the close of the exhibit venue (the "Claim Deadline"). A Hospital that cannot be reached after reasonable attempts, that declines the Prize, that fails to schedule the call by the Claim Deadline, or that is found to be ineligible or in breach of these Rules, will forfeit the Prize. Sponsor may, in its sole discretion, select an alternate winner by random drawing from the remaining eligible entries, time permitting.
Verification of eligibility and of the entrant's authority to act for the Hospital is a condition of receiving the Prize.
7. Promotional Pricing for All Entrants ("2026 Promotional Pricing")
As a courtesy unrelated to the random drawing, any Hospital that submitted an eligible entry during the Entry Period and that books a follow-up call with Couplet Care on or before the close of the exhibit venue is eligible for Couplet Care's "2026 Promotional Pricing" on qualifying orders received by Couplet Care on or before December 31, 2026. 2026 Promotional Pricing is a discount made available at Sponsor's discretion, is separate from the Prize, has no cash value, and is subject to Sponsor's standard order terms. 2026 Promotional Pricing and the Prize Credit may not be combined on the same bassinet unit.
8. Healthcare Compliance; No Inducement
The Prize is offered as a good-faith promotional award, and the AWHONN Show Pricing is offered as a good-faith commercial discount; neither is intended, nor shall be construed, as an inducement to purchase, order, recommend, or arrange for any item or service reimbursable by any federal or state healthcare program. Receipt of the Prize is not conditioned on any past, present, or future purchase or order of any product, and a purchase will not improve any entrant's chance of winning. Each participating Hospital is solely responsible for determining whether acceptance of the Prize or of any discount is consistent with applicable law and its own policies, including the federal Anti-Kickback Statute (and, with respect to the 2026 Promotional Pricing, its discount safe harbor), the federal Physician Self-Referral (Stark) Law, the Open Payments / Sunshine Act reporting requirements, and any applicable institutional, gift-acceptance, conflict-of-interest, or procurement policies. Each Hospital is responsible for accurately reporting and reflecting the value of the Prize and of any discount as required by law, including in any applicable cost report. Sponsor will document the value of the Prize and reflect any discount in a manner consistent with applicable reporting requirements. Nothing in this Promotion requires a Hospital to purchase any product.
9. Taxes
All federal, state, and local taxes, and any other costs and expenses associated with prize acceptance and use not expressly described as covered, are the sole responsibility of the winning Hospital.
10. General Conditions; Right to Cancel or Modify
Sponsor reserves the right, in its sole discretion, to cancel, suspend, or modify the Promotion, or any part of it, if fraud, technical failure, or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Promotion, or for any other reason, subject to applicable law. Sponsor reserves the right to disqualify any entrant who tampers with the entry process, violates these Rules, or acts in a disruptive or unsportsmanlike manner. Sponsor's failure to enforce any term of these Rules does not constitute a waiver of that term.
11. Release and Limitation of Liability
By entering, each entrant and participating Hospital agrees to release and hold harmless Sponsor and its officers, directors, employees, and agents from any and all liability, claims, or damages arising out of or in connection with participation in the Promotion or the acceptance, use, or misuse of the Prize, to the fullest extent permitted by law. Sponsor is not responsible for late, lost, illegible, incomplete, misdirected, or stolen entries, or for any error, omission, or technical malfunction of any kind.
12. Privacy
Information submitted on the entry form is collected by Sponsor and used to administer the Promotion, to contact entrants and the winner, and to provide quotes and follow-up consistent with Sponsor's privacy practices. By entering, entrants consent to such use. Sponsor will not sell entry information to third parties.
13. Winner Information
The name of the winning Hospital may be made available, where permitted, by sending a written request to Sponsor at the address below.
14. Governing Law and Disputes
These Rules and the Promotion are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to the Promotion shall be brought exclusively in the state or federal courts located in Delaware, and each entrant consents to the personal jurisdiction of those courts. Where prohibited or restricted by law, this Section does not apply to the extent of the prohibition.
